Terms of Service
Last updated 28 October 2026
This is a business-to-business website, and these are working terms, not fine print designed to trap anyone. They set out how the site, trade-partner accounts, enquiries and orders operate. The commercial specifics of any actual order — quantities, prices, lead times, freight terms — live in the written quotation we issue for that order, which together with these terms forms the contract between us.
1. About these terms
By using this website you accept these terms. If you register a trade-partner account or place an order, you confirm you are acting for a business — a boutique, retailer, wholesaler, export house, private label or reseller — and not as a consumer making a personal purchase. Nothing on this site is a consumer offering, and consumer-protection return frameworks do not apply to our transactions.
2. Trade-partner accounts and approval
Wholesale pricing on this site sits behind registration because our pricing is tiered by volume and programme. When you register, we review your business — typically within twenty-four hours — and approve or decline the account. Registration is a request for a commercial relationship, not a right, and we may decline accounts we cannot verify or that do not fit a B2B relationship.
You are responsible for the accuracy of the business details you register, for keeping your credentials confidential, and for activity under your account. One account per business. If your business changes hands or changes form, tell the Exports Desk so the record — and the relationship — stays clean.
3. Enquiries and quotations
An enquiry submitted through this site is a request for a quotation, not an order, and nothing is committed until a quotation is accepted by you and the advance payment clears. Quotations are issued in INR and USD, state their own validity period, and carry the minimum order quantities, tiered per-piece pricing, lead time and freight terms for that specific programme. Prices on the site are per-piece wholesale references; the quotation is the binding number.
Where a Maximum Retail Price (MRP) is shown for a line, it is the manufacturer's suggested retail anchor only. Your resale price is your commercial decision, and nothing in these terms constrains it.
4. Orders, advances and payment
An order is confirmed when the quotation is accepted and the advance is received. Domestic programmes run on a thirty percent advance with the balance of seventy percent against dispatch documents; export programmes run on a fifty percent advance, with the balance and documentation terms as stated on the quotation. Until the advance clears, production capacity is not reserved.
All payments happen offline through bank transfer against the quotation's stated banking details. We never collect card details on this website, and anyone asking you for card details while claiming to represent Dhanya Lifestyle is not us.
5. Lead times and dispatch
In-stock lines typically dispatch within two to five working days of advance clearance. Made-to-order, private-label and customised programmes follow the lead time stated on your quotation, counted from advance clearance and design sign-off. Handcraft is not an exact clock: if a programme needs one more week for the right finish, we will tell you early, honestly, and let you decide — we do not silently compromise quality to hit a date.
6. Quality, and the honest variance of handcraft
Every piece is inspected before dispatch. At the same time, these are handcrafted garments in natural fibres — slight, honest variance between pieces is the signature of handwork, not a defect. Screen colours depend on your display; fabric dyed in small batches varies within a reasonable tolerance. Claims for genuine manufacturing defects or transit damage follow the Returns & Replacements policy, which is written to be fair to both sides.
7. Export compliance
Export programmes ship against the Incoterms and documentation set stated on the quotation. We handle the Indian side — export documentation, HS classification as stated on each line, and origin certification where issuing authorities permit. Import duties, taxes and clearance in your market are the importer's responsibility, as the laws of your market require. Buyers in markets with import restrictions on apparel are responsible for their own licensing.
8. Intellectual property
The site, its imagery, its films and its collection designs belong to Dhanya Lifestyle LLP. As an approved partner purchasing a line, you may use our product imagery to market your resale of those purchased lines — that is what the imagery is for. Reproducing our content to market products not purchased from us, or misrepresenting our designs as your manufacture, is not permitted.
9. Limitation of liability
Our liability for any claim arising from an order is capped at the value of that order. We are not liable for indirect losses — lost resale margin, delayed launches or consequential damages — because the honest remedy in a manufacturing relationship is repair, replacement or refund of the affected goods, and that remedy is exactly what the Returns & Replacements policy provides.
10. Governing law
These terms and every order under them are governed by the laws of India. The courts of India have jurisdiction over any dispute. In any conflict between these terms and a signed quotation, the quotation prevails for that order.
